Terms of Service
Effective October 10, 2026 · Version 2026-10-10
These terms form the agreement between 1001757961 Ontario Inc., operating as Estentra (“Estentra”, “we”, “us”), and the person or organization using our tender management service (“you”). Questions can be sent to [email protected].
1. Eligibility and account responsibilities
Estentra is intended for adult users managing business projects. You must have authority to use the service for your organization and to upload or share its information. Each user must use their own account, keep credentials secure, provide accurate account information, and promptly report suspected unauthorized access.
Your organization is responsible for deciding who may access its workspace, assigning appropriate roles, and removing access when it is no longer needed. You are responsible for activities you authorize through your account; this does not remove Estentra’s responsibility for its own acts or omissions.
2. Service and availability
We provide and maintain Estentra with reasonable care. Features may be updated, errors may occur, and scheduled maintenance or unplanned outages may interrupt access. We do not promise uninterrupted service or a particular response or recovery time unless separately agreed in writing. Keep independent copies of important documents and tender records.
Estentra helps organize tender information. It does not replace your review of drawings, specifications, addenda, quotations, bid instructions, applicable codes, or professional advice. Verify dates, quantities, calculations, scope, recipients, and submission requirements before relying on them. You remain responsible for preparing and submitting your bids and confirming receipt.
3. Access, fees, and storage
Your access and fees are those stated in the plan or separate agreement you accept. Any free access or trial remains free for the stated period and does not automatically become a paid subscription. Before charging you, we will present the price, billing period, applicable taxes, renewal and cancellation conditions, and any refund terms for your acceptance. These terms alone do not authorize charges.
Your workspace’s allocated storage and other access limits are those communicated for your account or plan. Contact us if you need a different allowance. We will give reasonable notice of a material reduction to an existing allowance and an opportunity to retrieve affected files, except where immediate action is necessary for security or legal reasons.
Reporting, integrations and suggestions
Reporting and historical cost comparisons depend on the completeness and accuracy of your records. Currency, unit, scope and cost basis affect comparability. These features do not guarantee future prices, bid results or financial outcomes and do not replace your professional review.
Where your plan includes API access, organization owners may authorize scoped, read-only integrations. Protect tokens as credentials, grant only necessary permissions and revoke access when no longer required. You are responsible for integrations you authorize and their handling of exported information. Limits and supported endpoints may change with reasonable notice where practical. Attempts to bypass permissions, rate limits or workspace isolation are prohibited.
Suggestions are optional. You retain ownership of your submission and permit Estentra to review and use the ideas to improve the service without an obligation to implement them or pay compensation. This permission does not authorize publication of your identity or confidential content. Do not submit information you lack permission to share.
4. Your documents and information
You and your licensors retain ownership of uploaded drawings, specifications, takeoffs, quotations, contacts, and other content. You grant Estentra a limited permission to store, copy, transmit, and process that content as needed to provide, secure, support, and maintain the service and carry out your sharing instructions. This permission does not allow us to sell your project content or publish it for advertising.
Only upload information you have permission to use. Respect client confidentiality, intellectual property, and privacy obligations. Avoid uploading unrelated sensitive personal information. The permission above ends when the content is removed from the service, subject to limited retention for backups, legal obligations, and resolving disputes.
5. Supplier links and communications
Review files and recipients before sharing an RFQ or issuing a supplier link. Anyone who obtains an active share link may be able to access the files authorized by that link. Recipients may download or retain copies; expiry or revocation cannot recall copies already obtained. Share confidential documents only with authorized recipients.
Email delivery, task reminders, and notifications can be delayed, blocked, or missed. Do not rely on them as your only method of tracking a deadline or confirming a submission. Account security, invitation, password recovery, and service messages are separate from optional marketing communications.
6. Acceptable use
Do not use Estentra to break the law, infringe another person’s rights, distribute malware or unsolicited bulk messages, gain unauthorized access, bypass account or storage limits, interfere with other workspaces, or disrupt the service. Report vulnerabilities privately to [email protected] rather than accessing another user’s information.
7. Confidentiality and privacy
We will use non-public project content only for the service purposes described above and restrict access to people and service providers who need it for those purposes, or where disclosure is required by law. Your authorized workspace users and recipients can access information you make available to them.
Our Privacy Policy explains how personal information is handled. These terms do not provide blanket consent for new uses of personal information and do not waive rights under applicable privacy law.
8. Estentra intellectual property and feedback
Estentra and its licensors retain their rights in the software, branding, and service materials. We give you permission to use the service within your authorized account access. You may suggest improvements voluntarily; we may use those suggestions without payment, but this does not transfer ownership of your project content or authorize disclosure of your confidential information.
9. Suspension, account closure, and service discontinuation
You may stop using Estentra at any time. An authorized organization owner may request workspace closure or assistance retrieving documents by emailing [email protected]. An individual leaving a workspace does not have authority to delete the organization’s records.
We may restrict access where reasonably necessary to address security threats, unlawful activity, serious breaches of these terms, or a legal requirement. Where practical, we will explain the reason and allow you to correct the issue. Immediate restriction may be necessary to protect users or the service.
If we discontinue the service or close a workspace for reasons other than urgent security or legal restrictions, we will give at least 30 days’ notice and a reasonable opportunity to download available documents or request assistance retrieving records. Closure and deletion timing, including backup retention, will be explained when handling the request and in the Privacy Policy. Keeping your own copies remains necessary.
10. Service limitations and liability
To the extent permitted by law, the service is provided as available, without a guarantee that it will meet every requirement or be free from errors. We do not guarantee a successful tender, accurate user-entered information, third-party quotation performance, or receipt of communications.
To the extent permitted by law, neither party is liable to the other for indirect or consequential losses, including lost profits, lost business opportunities, or lost anticipated savings arising from use of the service. This exclusion does not apply to fraud, wilful misconduct, or liability that the law does not permit to be excluded. These terms do not set a financial liability cap.
Nothing in these terms removes mandatory consumer, privacy, or other statutory rights, or excludes obligations that cannot lawfully be excluded.
11. Changes and agreement
These terms take effect for you when you expressly accept this version. We will identify material changes and give reasonable advance notice before they take effect, except where changes must take effect sooner to comply with law or address an urgent security issue. We will request renewed acceptance where required. Changes will not apply retroactively.
If you do not accept revised terms, you may stop using the service and request closure and retrieval assistance. Merely viewing these terms, receiving an invitation, or signing in is not acceptance of them. A separate signed agreement governs if it expressly overrides these terms.
12. Governing law and contact
Subject to mandatory laws and rights that apply to you, the agreement is governed by Ontario law and the federal laws of Canada applicable in Ontario. Please contact us first so we can try to resolve a concern. This does not prevent you from seeking a lawful remedy or contacting a regulator.
